GVV Constructions: Clause 63 Stops Shielding Railways

3
min

Contract Termination and the Dispute

South Central Railway awarded the Guntur–Guntakal doubling contract to GVV Constructions Pvt Ltd on 30 November 2017.

On 10 June 2022 it terminated the agreement under Clause 62 of the Indian Railways Standard General Conditions of Contract and forfeited the performance guarantee.

Everything since has concerned who decides whether that termination was lawful.

Supreme Court Ruling

On 8 September 2026, a Supreme Court bench of P.S. Narasimha and Alok Aradhe answered.

The arbitral tribunal decides. No constitutional court gets to script its reasoning in advance.

The Procedural Route

The route matters more than the outcome.

A single judge of the Telangana High Court dismissed GVV's writ on 18 October 2022 — disputed questions of fact, Article 226 the wrong forum.

The Division Bench partly reversed, then added a direction that the tribunal adjudicate the claims strictly in accordance with the agreement. That phrase is what GVV appealed.

It would have finished the claim, because a tribunal told to apply the contract strictly resolves an excepted-matters objection before it reaches evidence.

What the Court Held

The Court held Clause 63 excludes excepted matters from arbitration but does not bar courts from examining the validity of decisions on them.

Whether a claim falls inside Clause 63 is a Section 16 question for the tribunal, not a Section 11 question, and certainly not an Article 226 question.

The ruling drew on prior authority:

- Vidya Drolia's eye of the needle was applied.
- Duro Felguera and Mayavati Trading were traced.
- Sarvesh Chopra, the railways' most reliable precedent on excepted matters, was held inapplicable.

Commercial Implications

That is the commercial turn.

Clause 63 lists departmental determinations as final, and contractors have treated it as a jurisdictional shield for three decades. It is now a merits filter.

Tribunals will hear the point, and evidence decides it: measurement books, hindrance registers, site correspondence, escalation claims.

Practical Implications

GVV Constructions holds a procedural win. Four years after termination the guarantee is still encashed and quantum is unadjudicated.

South Central Railway still needs a doubling on that corridor, and the balance of the work will be re-tendered at today's escalation with fresh mobilisation costs.

Price Clause 63 at pre-bid. Quantify the claims the excepted-matters list could still remove from your recovery. Administrations should stop reading the clause as a stay order.
