The board of Highway Infrastructure Limited approved ₹49 crore of promoter warrants on 14 October 2026.
NHAI's ₹431.86 crore of user fee contracts became public on 28 October.
The capital call preceded the order confirmation by two weeks, and that sequence tells you more about the Indore-based operator's position than the award itself.
Two fee plazas. Palayam on NH-44 in Tamil Nadu at ₹340.08 crore, spanning the Krishnagiri to Thumbipadi section.
Baiti Kala on the Sultanpur-Varanasi stretch of NH-56, renumbered NH-731, at ₹91.78 crore.
Both through NHAI's competitive e-tender. Both running one year.
One year is the constraint that reframes everything.
Toll operators normally price a traffic ramp across a multi-year concession.
Highway Infrastructure Limited gets twelve months to:
- Absorb traffic variance.
- Staff two plazas 1,600 kilometres apart.
- Control cash leakage across two state borders.
- Maintain adjacent toilet blocks with consumable replenishment folded into scope at no separate line item.
So read ₹340.08 crore as a gross collection mandate, not a margin.
Against it sits ₹49 crore from promoter group members Anoop Agrawal, Riddharth Jain and Tirth Agrawal, issued as fully convertible warrants at ₹5 face value — roughly a ninth of the combined award, injected by promoters into their own company to fund mobilisation and the acquisition of a controlling stake in Indore Highway Real Estates Private Limited.
Anoop Agarwal, Whole Time Director and Chief Financial Officer, describes that acquisition as a widening of the company's infrastructure presence.
It is diversification away from NHAI-dependent cash collection into a sector where Highway Infrastructure Limited has no disclosed delivery record.
The company was incorporated in 2006 and built its identity on plaza-level user fee collection. Real estate is a different competence entirely.
NHAI's side of the trade is clean. Bundling sanitation upkeep into the tolling contract moves a compliance obligation onto the fee collector at zero additional payment.
The authority secures collection certainty; the operator absorbs staffing, consumables and inspection risk.
The signal for bidders is structural. Short-tenor user fee tenders now reward operators who can fund mobilisation from group capital, not operators holding the sharpest traffic models.
Balance sheet access has become the qualifying criterion.
Watch the collection run-rate at Palayam through the first quarter. If it undershoots, the promoter warrants read as a funding lifeline rather than a confidence statement, and the dilution minority shareholders accepted at ₹5 becomes the real cost of this order book.
