The Amendment Letter is dated 28 October 2026.
The delivery deadline is 7 June 2027. Between those dates, Titagarh Rail Systems Limited must build and dispatch 4,955 BOXNHL wagons.
That is 222 days.
About 22 wagons every working day, from a Kolkata manufacturer already running a 5,039-unit tranche of the same contract.
The Ministry of Railways never opened a tender for this volume. It pulled Clause 12, the option clause, at the price and terms fixed when the original contract was awarded.
Look at the ratio. The option is 98% of the original order.
A tender advertised as 5,039 BOXNHL wagons was, in practice, a tender for 9,994.
Bidders who sized their capacity and their margin against the headline quantity misjudged the prize. Titagarh Rail Systems won it, and now carries an amended contract of Rs 10,404.10 crore inclusive of GST, with Rs 1,716.90 crore plus GST landing on the book without a fresh bidding round.
What the option does not carry is a rate reset. Steel plate and cast bogies have repriced since the original bid. Every rupee of that inflation sits inside the contract, not on top of it.
The 222-day clock is the second problem: wheelset availability, not fabrication capacity, sets the ceiling on Indian wagon output, and 22 wagons a day leaves no float for a supply interruption.
The cost falls on the rest of the field. Jupiter Wagons, Texmaco Rail & Engineering and every other wagon maker get no look at 4,955 units.
Each option clause the Railway Board exercises is one tender it does not float, and the addressable market for challengers narrows precisely as Indian Railways freight modernisation capex is being committed.
Two markers to track.
- Wheelset and casting procurement disclosed in Titagarh's next quarterly update will show whether the arithmetic holds.
- Watch whether the Railway Board returns to Clause 12 for the FY28 wagon programme rather than float fresh tenders.
If it does, wagon supply in India stops being a bidding market for anyone outside the incumbent tranche.
