The Debarment and the SPV Firewall

The National Highways Authority of India (NHAI) has barred PNC Infratech from bidding on any NHAI or Ministry of Road Transport and Highways (MoRTH) tender for three years.

The trigger is damage to a section of the Kanpur-Lucknow (Awadh) Expressway. But the mechanism matters more than the penalty: NHAI extended the debarment of the concessionaire and PNC subsidiary, Awadh Expressway, upward to the listed parent in its capacity as promoter.

That is the real story. HAM and DBFOT concessions were structured so execution and O and M risk sit inside a special purpose vehicle, ring-fenced from the sponsor's balance sheet and order book.

NHAI has now shown it will pierce that firewall where asset quality fails.

For every listed highway contractor, the SPV is no longer a liability shield - it is a commercial conduit straight back to the parent.

PNC Infratech's Structural Exposure

For PNC Infratech the exposure is structural, not episodic. NHAI and MoRTH are the single largest source of highway tendering in India.

A 36-month freeze removes the group from that pipeline even as it signed fresh HAM concession deals in July and pursued arbitration awards in August.

The contradiction is sharp: PNC is winning new concessions and recovering claims at the tribunal while being locked out of the authority that generates most of them.
